1. Introduction & Acceptance

These Terms and Conditions constitute a legally binding agreement between you (“Client”) and PV CRISTAL (“Agency”, “we”, or “our”), situated at Destination Center, Nanded City, Sinhagad Road, Pune, Maharashtra. By engaging our digital agency services, signing a Statement of Work (SOW), or paying any associated deposit or invoice, you explicitly affirm full acceptance of these terms.

If an entity engages our services on behalf of a parent company or affiliate, the representative warrants they have statutory authority to bind that entity to these governance principles.

2. Scope of Services

PV CRISTAL delivers bespoke digital marketing, web engineering, mobile app development (Android), Meta/Google ad execution, and corporate graphic identity systems. Each engagement is governed strictly by the deliverables and milestone timelines documented within individual formal project schedules.

Any feature, consultation, or operational task requested outside the authorized SOW will be reviewed as an independent project extension subject to distinct estimation and fees.

3. Client Responsibilities

Seamless delivery demands active collaboration. The Client agrees to furnish required assets, vector logos, copy, API tokens, DNS pointers, and third-party portal access within five (5) business days of initial onboarding.

Delays in furnishing requisite inputs or responding to design/code approvals automatically extend downstream delivery calendars without incurring penalty against PV CRISTAL.

4. Payments & Billing

Unless otherwise agreed in a customized milestone contract, fixed-scope engineering engagements necessitate an upfront deposit of 50%, with subsequent tranches released at staging verification and final deployment. Retainer services are billed upfront on a recurring monthly cycle.

Invoices are payable within seven (7) calendar days of generation. Delinquent accounts past fourteen (14) days are subject to work suspension and a 2% monthly statutory interest surcharge.

6. Project Timelines & Milestones

Target delivery calendars represent good-faith operational projections based on initial discovery. While PV CRISTAL maintains an aggressive commitment to precision delivery, external third-party approvals (e.g. Google Play Store audits, Meta ad account reviews) reside beyond our direct control.

We provide continuous transparency via bi-weekly status reports and dedicated project trackers. Delays arising from external API changes or client reviews do not qualify as breach of contract.

7. Revisions & Scope Creep

Web engineering and creative packages include two (2) consolidated iterative feedback rounds per milestone phase. Revisions must align with parameters chartered in the discovery baseline document.

Requests introducing structural pivot points or new integrations will be formally documented via an official Change Request Notice (CRN) alongside supplemental fees and adjusted deadlines.

8. Intellectual Property & Code Ownership

Upon receipt of 100% final invoice clearance, full proprietary intellectual property, bespoke source code, raw design assets, and production deliverables are assigned comprehensively to the Client.

PV CRISTAL retains permanent rights to its modular design toolchains and the privilege to cite anonymized metrics and public design mockups in professional portfolio showcases.

9. Refund & Cancellation

Given the bespoke technical nature of our work, advance engineering retainers and setup deposits are non-refundable once architectural sprint work has commenced.

Either party may dissolve recurring monthly retainers by issuing thirty (30) days written notice. In the event of mid-project cancellation, the client remains responsible for all billable hours recorded up to the termination date.

10. Limitation of Liability

To the maximum extent permissible by law, PV CRISTAL, its officers, and developers shall not be liable for any indirect, incidental, or consequential damages resulting from platform downtime or third-party network failure.

Our aggregate financial liability arising under any claim shall not exceed cumulative compensation received by PV CRISTAL under the contested service order during the three (3) months preceding the incident.

11. Governing Law (Pune, Maharashtra, India)

These terms, contracts, and any disputes or claims arising out of or in connection with our services are governed exclusively by and construed in accordance with the laws of the Republic of India.

The courts located within Pune, Maharashtra, India shall hold sole and exclusive territorial jurisdiction over any legal arbitration or court proceedings emerging from our business engagements.
